Terms of Use

We ("Roundups", "we", "our", or "us") have the greatest respect for your ("your", "you", "your business", "user", including "your users") information and data and we expect you to have the same level of respect for our service, including Roundups content, community, software, and related support services (the "Service" or "Services"). We are committed to operational excellence and delivering the best possible experience for every Roundups user. The Roundups Service is owned, operated, and managed by Roundups Inc.

Access To The Service

Access to the Service is only permitted subject to acceptance of these Terms of Service ("TOS"), which Roundups shall be free to modify at any time without prior notice to you. It is your sole responsibility to access this page and ensure that you are in compliance with the most up-to-date version of the TOS at roundups.ai/terms. By accessing and using any part of the Service, you agree not to engage in any of the following activities: 1) Attempt to send or store data other than through means explicitly provided by the Service; 2) Attempt to reverse engineer the Service; 3) Attempt to share any content that is offensive to others, slanderous, pornographic in nature, or otherwise inappropriate for public consumption. We reserve the right to block you from the Service, with no prior notice, for any reason. You shall hold Roundups harmless in the event of any claim in one or more of the following cases: 1) Loss of opportunities or business income linked to the functioning or non-functioning, use or non-use of the Service, or content available through the Service; 2) Illegal or unauthorized access to the Service by any third party, including any intrusion into Roundups servers; 3) Any network conditions that may affect the speed or performance of the Service.

If you are paying Roundups for use of our Services, you will be granted such access immediately after payment has been processed by our payment processor and we receive confirmation. If your payment is declined for any reason, or your payment method expires, we reserve the right to terminate access to any paid Service features without notice, but we will provide an explanation through email or programmatically through our Services. Access to any paid Service will be restored within 24 hours of receipt of payment by Roundups.

You accept that all of our Services shall function "as is" and that any function of the Services, including aspects of the Services dependent on third parties, including Sub-Processors and Affiliates, are subject to change or removal without prior notice to you. Roundups alone shall decide on the expediency of inclusion, or removal of any feature of the Service, or any content available through the Service on its own timeline and at its sole discretion for any and for no reason at all.

Warranty Disclaimer

Roundups reserves the right, at any time and on any grounds whatsoever, to alter or temporarily or permanently discontinue any, in whole or in part, features and access to the Service, without informing you prior to. Roundups shall not be held liable for any direct or indirect loss or damage associated with an alteration or suspension of or interruption in access to the Service, the accuracy or inaccuracy of data, or your inability to access the Service for any reason whatsoever.

Copyright

The text, code, logos, drawings, brand names, models, slogans, graphic charts, concepts, etc. accessible through the Service (collectively "Content"), either directly or indirectly through third parties, may be protected by intellectual and/or industrial property rights. Except where expressly authorized by Roundups and/or a third party maintaining such rights, you shall not be allowed to modify, reproduce, rent out, borrow, sell, distribute, or create derivative works based entirely or partially on the elements contained on the website, applications, or through any part of the Service. It is therefore not allowed (and you may not authorize others) to copy, modify, or create a derivative work, reverse the design or assembly, or attempt in any other way to find the source code, sell, grant, sublicense, or transfer in any way whatsoever, any right relating to Content accessible through the Service, or any part of the Service.

Your Data

Any data that you provide to the Service, including but not limited to messages, text, graphics, audio, video, and personal data (collectively, "Data") you retain your rights to, or where such rights have been granted directly to you. You hereby grant Roundups, without any compensation to you, a perpetual, irrevocable license to publish, re-publish, format, reformat, transmit, process, upload, download, and store any Data you provide or connect to the Service.

We respect your privacy and all Data collected by Roundups through your use of our Service. We do not sell your Data to third parties and make every commercially reasonable effort to protect your Data. By allowing the Service to access your Data, you expressly authorize Roundups to process Data for the following purposes: 1) Grant you access to certain features of the Service; 2) Create backups and to store, protect, and manage Data for the operation of the Service; 3) Improve the quality of the Services offered, including using your Data in aggregate form to improve language models; 4) Inform you of interruptions in Services, new features, and provide support; 5) Comply with legal obligations, including disclosing Data at the request of legal authorities.

Roundups undertakes strict measures to protect the security of your Data and implements the necessary procedures and technologies to prevent unauthorized access. Your Data is stored on restricted-access computer systems installed in premises protected by surveillance. By means of a written request, you can request the correction or removal of any Data. Limited Data may be retained indefinitely, even if you terminate access, but would be used only in aggregate form, to maintain data integrity in reporting, optimization, and service improvement.

Roundups prioritizes GDPR compliance, using Standard Contractual Clauses (SCCs) to safeguard data transfers to and from non-EEA regions. These measures ensure that data handling aligns with international privacy and security standards. While Roundups is committed to GDPR compliance, users should consult legal counsel to confirm the validity of SCCs for their specific business needs. Roundups deletes visitor data after 30 days, in line with GDPR data retention policies.

Roundups ensures all third-party vendors comply with our GDPR requirements. Data transfers are protected with 256-bit encryption, and our API and application endpoints exclusively use TLS/SSL protocols for secure connections.

Roundups Plans

Roundups offers a free plan for its tools and optional paid plans providing access to more features, additional Roundups per month, and more items per Roundup. As a user of a Paid plan:

  • A valid credit card is required for paid plans, and you are responsible for monitoring your billing statements and billable events.
  • You will be billed immediately when upgrading to any paid plan and billed monthly on a recurring basis until cancellation.
  • Downgrading from a paid plan to a free plan may result in restricted access to features and data. Roundups is not liable for the inability to access data or features.
  • Roundups reserves the right to add or remove features at its discretion, and if changes affect all users, Roundups will make commercially reasonable efforts to inform users, but is not liable if you do not receive notice.
  • No refunds will be provided for unused paid plans or recurring charges.

Cancellation and Termination

You are solely responsible for canceling your paid plan through the Roundups application. Service will not be canceled via email requests.

To permanently terminate your Roundups account and delete your data, click "Delete my Account" in the Account Management section of the Settings screen. This action is irreversible, and your data cannot be recovered.

If you cancel the Service before the end of your billing period, your subscription and data will be terminated immediately.

Roundups, at its sole discretion, reserves the right to suspend or terminate your account for any reason at any time, resulting in the deletion of your account and forfeiture of all content.

General Conditions

  • Your use of the Service is at your sole risk. The service is provided on an "as is" and "as available" basis.
  • Roundups does not warrant that the service will meet your requirements or that it will be uninterrupted, timely, secure, or error-free.
  • Support is only available in English.
  • Roundups uses third-party vendors and hosting partners for the necessary infrastructure.
  • You must not modify, hack, or exploit the Service or falsely imply an association with Roundups.
  • We may remove content deemed objectionable at our sole discretion.
  • Abuse towards Roundups personnel or users will result in immediate account termination.
  • Transmission of malicious code is strictly prohibited.
  • Roundups reserves the right to limit bandwidth usage or disable accounts if usage exceeds acceptable levels.
  • Roundups is not liable for damages resulting from the use or inability to use the Service.
